Nomination governs the appointment of members of the Board of Commissioners and the Board of Directors based on statutory criteria and applicable laws, for approval by the Annual General Meeting of Shareholders (AGMS).

Remuneration is determined by the AGMS with regard to the Company’s financial capability, economic conditions, and industry benchmarks.

Duties of the Board of Commissioners

1.   Nomination Function

• Recommend Board composition, policies, and criteria.

• Propose qualified candidates to the AGMS.

• Assist Board performance assessment

2.   Remuneration Function

• Recommend remuneration structure and amount.

• Evaluate remuneration alignment with performance.
